A meeting must therefore be convened at which this intention is on the agenda. The permission can be given with a simple majority of votes (half + 1). A dissenting vote is therefore not sufficient to stop the decision. You can have the decision annulled by the subdistrict court if it is in conflict with the legal or statutory provisions that regulate the creation of decisions or if it is in conflict with reasonableness and fairness. In addition, the decision is null and void if it is in conflict with the law or the articles of association. A request to annul the decision must be submitted to the subdistrict court within one month after it was taken.
