This option does not exist for an association with limited legal capacity. The main difference between the two forms, however, lies in the liability of the directors. In an association with limited liability, directors are jointly and severally liable for agreements entered into by them on behalf of the association. Because directors of an association with full legal capacity are not personally liable for agreements entered into on behalf of the association, it is advisable for that reason alone to include the articles of association in a notarial deed. However, there is no difference in the rights of an association with limited or full legal capacity with respect to the landlord.
