Good morning, we are in the process of acquiring a company. The owner is currently involved in the settlement of a dismissed employee. This case is currently before the court for settlement. When we acquire the company, do we become responsible for this settlement or can we suffice by naming this in the acquisition contract so that we are legally covered for any costs towards this employee if the court decides that the dismissal is unlawful? It depends somewhat on the circumstances, but in principle you should take into account that when you take over a company, you also take over the employees. This is therefore a risk and a good provision should be made for this when taking over.Questioner
I understand that I take over staff in the event of a takeover, but my question is whether I can put in a contract that I will not take any responsibility for it, since the employee is already in negotiations with the current owner about the dismissal. But possibly not yet completed before the takeover?Questioner

Technically it is indeed possible to make an agreement with the selling party about the consequences of a possible transfer of the employee to you as the buying party. That could be made part of the purchase agreement.Neem de volgende stap
