If the power of attorney arrangement states that the director has the authority to sign all contracts, but she has a contract signed by a manager, is this contract legally valid? To sign Po means: 'per order'. The signatory does this on behalf of the person authorised to sign. A proxy arrangement concerns the authority of someone other than the authorized director to sign a contract on behalf of the company (for example). Signing 'per order' does not have to be included in a proxy arrangement. This must be the case if there is a question of signing 'pp' (per proxy).
