Shareholder and Director Discovery

Questioner

I started a business with acquaintances consisting of one holding company and two operating companies. Each of us had/has a personal holding company that evenly distributed the shares of the business holding company. After the five startups were reduced to only three private individuals (holding companies), a complete international structure was created based on advice. However, I've now lost the complete overview of directors' shares, etc. It seems the "advisors" have arranged things more in favor of one person. I would like to know how to determine which entities I am a shareholder/director/director of, or with which I have any connection. I've already learned that no share of a foreign entity was issued to me, and only one to my partner. The advisors are no longer responding to me, most likely because I'm not a party to their (client's) interests. Surely this should be possible through some kind of UBO check? I'd like to hear from you.

Questioner

A UBO register as you envision doesn't yet exist, though plans for one (and even a legislative proposal) are already in place. Currently, this isn't easy to verify, and you'll have to search through sources like the trade register and foreign equivalents. I'd be happy to assist you in determining the current flow of all the information. Of course, this also depends on what information is publicly available and how well it's been kept up-to-date by the relevant parties, but I do have experience in this area. Feel free to contact me.

Questioner

Dear Marc, Thanks for your reply. Is it also possible to find out whether my private limited company (BV) has been included in a fiscal unity declaration or something similar to the structure? Perhaps we could contact you by phone to clarify the details. Could you possibly indicate what the cost implications are? I look forward to hearing from you. Pascal Nieling
