Risks of Webshop Takeover: Legal Advice

Questioner

I have a sole proprietorship, and someone I work with has their own. I know that the other person has debts from the past and therefore runs the risk of being chased by creditors every day. Our collaboration involves me handling all online marketing activities for his webshop. Despite this collaboration, I assume he's legally still my customer, and therefore I can't get into any trouble because of his past. Now, there's talk of me taking over his webshop through an official purchase agreement and thus trading it under my sole proprietorship. Legally speaking, isn't this a risk for me? I want to take over the webshop so that no one can possibly lay claim to it and so that I don't see all my activities disappear. Thank you in advance!

Questioner

You can take over his webshop provided you have established clear terms and conditions regarding the acquisition, specifically mentioning his trade name, and also regarding liability for any debts he defaults on. In other words, liability in this regard must be excluded. This can be mutually confirmed in a clause. It's wise to draft a contract that is as conclusive as possible and that limits or excludes these matters. If you would like to have the terms and conditions drawn up or checked, you can contact me directly.
