Do I owe my payroll administration a fee?

My sole proprietorship was taken over by another organization in May 2020. I terminated the contract with the payroll administration in February 2020 because the acquiring party did not want to use it. Now I only heard in December 2020 that I cannot terminate this contract because it runs until January 2022 and I owe a compensation of 8000 euros. Please advice
